Unilateral Minimum Advertised Price and Internet Sales Policy (MAP)

General
Chapin International, Inc. (“CHAPIN”) desires to preserve the premium brand image
associated with its CHAPIN branded sprayers, spreaders, irrigation, other and
numerous other categories of product and parts, collectively, the “PRODUCTS.”
Because CHAPIN believes that the performance, high quality and other attributes of its
PRODUCTS are best conveyed by advertising that focuses on these features, CHAPIN
has adopted this Minimum Advertised Price and Internet Sales Policy (“MAP”) to
support advertising that promotes these objectives. This policy applies to dealers
and other authorized resellers (in either case, “RESELLERS”) of any PRODUCTS in the
United States, who acquire such PRODUCTS directly and indirectly from CHAPIN. The
MAP is a unilateral policy of CHAPIN.
This Policy establishes requirements for Minimum Advertised Prices and Internet
Sales by CHAPIN’s network of AUTHORIZED RESELLERS (“RESELLERS”) of CHAPIN
branded PRODUCTS and parts.
This MAP is not an agreement between CHAPIN and its RESELLERS. The MAP is a
unilateral policy of CHAPIN.
CHAPIN is a sprayer, spreader, irrigation and numerous other categories of product
and parts (PRODUCTS) manufacturer, and therefore does not control the actual sale
price to end users in the marketplace. RESELLERS include independent dealers,
national and regional retailers and internet retailers of CHAPIN PRODUCTS.
RESELLERS have the ability and discretion to independently sell all PRODUCTS and
parts at any price they choose.
End customers rely on advertising and online product research to help establish the
value of PRODUCTS they purchase. This MAP is intended to ensure that CHAPIN
branded PRODUCTS are promoted in the marketplace with the appropriate value and
brand equity. Advertising and promotional activities play a crucial role in
strengthening the image, reputation and equity of these brands in each market
segment that CHAPIN serves.
The MAP benefits both RESELLERS and CHAPIN by requiring that RESELLERS adhere
to the MAP established herein.
Minimum Advertised Price
• It is a violation of the MAP for RESELLERS to advertise a price for a new, unused
CHAPIN PRODUCT or part below the minimum advertised price for such
PRODUCT established by CHAPIN (the “Minimum Advertised Price”)
• PRODUCTS and parts can be sold by RESELLERS at any price, including a price
below the Minimum Advertised Price. MAP only prohibits RESELLERS from
advertising PRODUCTS and parts below the Minimum Advertised Price, but not
from selling PRODUCTS and parts below the Minimum Advertised Price. Actual
prices charged for the PRODUCTS to customers may be provided in person, by
telephone, email response, or product confirmation webpages or
communications.
• Advertising is defined as listing a price for a specific model number, or referring
to product- specific coupons, rebates, product giveaways, “name-your-price,”
and other promotional offers, that have the effect of lowering an advertised
price. Advertising that lists a price must also list a specific model number.
Advertising media include, but are not limited to:
• Television
• Radio
• Print including newspapers, flyers, circulars, classified ads
• Billboards
• Internet banner, pay-per-click and search ads, including Google AdWords
• Mobile ads
• RESELLER website
• Third party retail websites including Amazon.com, Ebay.com, walmart.com etc.
• Social media including, but not limited to, Facebook, LinkedIn, Twitter and
Instagram
• Direct mail via U.S. or Canadian Postal Service
• Email, mobile or text messaging
• New Advertising media as they arise
• Minimum Advertised Prices are defined for each model on the current price lists
provided by CHAPIN to its RESELLERS. Any and all changes to Minimum
Advertised Prices will be communicated through the Vice President of Sales at
CHAPIN.
• CHAPIN may, at its discretion and at any time, change the Minimum Advertised
Price for a PRODUCT or part in order to support a market-wide promotion. This
change will be communicated through the Vice President of Sales at CHAPIN as
noted above.
• PRODUCTS that are “used” may be advertised at any price, as long as the
PRODUCT is clearly marked as “used” and cannot be perceived by the end
customer as new.
• If any RESELLER has questions about this Policy, or wishes to report
information concerning prices advertised by another CHAPIN RESELLER, an email can be sent to: ptexeira@chapinmfg.com
Internet Sales
• RESELLERS may sell all CHAPIN brand PRODUCTS online that they make
available to end customers in their retail stores, but RESELLERS may only sell
these PRODUCTS through the RESELLER’s own website.
• Retail sales of PRODUCTS, via 3rd party retail websites (also known as
Marketplaces), even if the PRODUCT is delivered by the RESELLER, are
prohibited.
• Registered trademarks of CHAPIN may not be used by any RESELLER, in any
form, in any website address or URL, without the express written consent of
CHAPIN.
• RESELLERS may sell any CHAPIN brand PRODUCTS but if selling to another
party that resells on any sites that violates the CHAPIN MAP policy, needs to
contact that customer to adjust pricing to adhere to CHAPIN’s MAP policy. A
DNS (Do Not Sell) list will be provide on a monthly basis. If RESELLER does not
discontinue selling to that customer, same steps of violation apply, as if they
violated themselves.
Enforcement of this Policy
• Violations of this MAP may result in the loss of PRODUCT availability, discounts,
cooperative advertising program funds, or the discontinuation or termination of
RESELLER.
• Any and all violations of the MAP will be determined at the sole discretion of
CHAPIN. Upon written notification by CHAPIN of a violation of the MAP, the
RESELLER has seven 48 hours to remedy the violation before the consequences
of a first violation or any subsequent violation are incurred. Chapin reserves the
right to choose the starting violation level at its sole discretion.
First Violation
• Discontinuing selling of the violated PRODUCTS to the RESELLER
Second Violation
• Discontinuing selling of the violated PRODUCTS to the RESELLER
• Loss of all program discounts/special buys for twelve months.
Third Violation
• CHAPIN reserves the right, at its sole discretion and option, to suspend or
terminate the RESELLER’s agreement with CHAPIN.
CHAPIN reserves the right to modify this MAP at any time, upon notice to RESELLER,
