Minimum Advertised Price (MAP) Policy for the United States & Canada

Effective July 1st, 2026

Clarus Adventure Americas (CAA) has unilaterally established a policy regarding the minimum advertised price
of CAA products which are sold in the United States and Canada (“Products”). CAA has invested significant
resources in product development, innovation, and marketing to build and maintain its reputation for premium
quality and to generate goodwill in all CAA brands. CAA believes that there are certain advertising practices
that undermine the reputation, brands, goodwill, and premium image of the Products with our target consumer
retail population and discourage our sellers from investing in our products and providing the best possible
service and support to customers. Therefore, CAA believes a MAP Policy is necessary to maintain our
reputation for quality products, preserve our brand image, and ensure retailers provide effective marketing,
after-sales support, and technical support for our Products. This MAP Policy is effective as of 7/1/2026 and
supersedes all prior CAA MAP policies regarding the Products.

Scope

This MAP Policy applies to all authorized sellers that advertise Products to end-user consumers (collectively,
“Retailers”). “Advertising” under this policy means a public announcement promoting a CAA Product in any
form including, without limitation, flyers, posters, coupons, mailers, inserts, newspapers, magazines,
catalogs, mail order catalogs, internet or similar electronic media, mobile apps, social media, websites
(including, without limitation, Retailers’ websites and websites of Retailers’ affiliates), other online platforms,
text message, television, fax, radio, and public signage. For purposes of this MAP Policy, the terms
“advertising” or “advertisement” do not include in-store advertising that is displayed only in the store and is
not distributed to the customer. This restriction includes the advertised pricing listed on Internet sites.
However, this does not apply to the actual sales price reflected on the check-out or order page of an Internet
site, as such constitutes the actual sales price and is not bound by this MAP Policy.

The minimum advertised price (“MAP”) is the MSRP price listed for Products. A list of current MAPs for the
Products is available through CAA’s sales team and may be updated or modified from time to time by CAA in
its sole discretion.

Policy Compliance

Under this MAP Policy, a Retailer may not, itself or through its agent or representative, create, produce,
publish, post or otherwise distribute or display, or cause to be distributed or displayed, any advertisement that
lists any Product at a price below the applicable MAP for that Product.

• This restriction includes the listing of any rebate, discount or sales pricing, including
membership discounts, banner discounts, store-wide or department sales (e.g., Pricing Is
Too Low To Be Displayed; 20% Off; 20% Off Entire Site; Buy One Get One Free/Discounted;
Buy One Get Free Gift; Buy More Save More; Coupon Eligible) and any other advertised sale or
discount that would effectively result in the Products being advertised at a price below the
MAP. Such advertising will constitute a violation of this MAP Policy.

• This restriction includes “bundling”, i.e., the advertising of free or discounted products
(whether made by CAA or a third party) with Products. Such advertising will constitute a
violation of this MAP Policy if it has the effect of discounting the advertised price of the
Products below the MAP.

Any attempt to reduce the advertised price below the applicable MAP for that product will be considered a
violation of this MAP Policy. For example, such attempts to advertise a price below the MAP may include but
are not limited to:

• Advertising Products subject to store-wide discounts that would result in an advertised price
that falls below the MAP for that Product.

• Advertising Products in combination with non-CAA products in a manner that implies below-
MAP pricing for the bundled Product(s).

• Advertising multiple Products for a single price that is less than the combined MAPs for the
Products.

• Advertising that offers gift certificates or store credit in combination with Product(s) at a single
price where the application of the gift certificate or in store credit results in an advertised price
below the MAP for the Product.

• Advertising Products through online auctions where the minimum bid is below the MAP.

• A visible strike out, deletion or alteration of any price in any Internet advertising, “see price in

cart,” or other statements that suggest a lower price for a Product may be found in the check-
out or order page of an Internet site.

In-Store Advertising Excluded

This MAP policy applies only to advertised prices and does not apply to the price at which Products are actually
sold or offered for sale to an individual purchaser within Retailers’ retail location or over the telephone. Each
Retailer is free to independently set its resale prices at its own discretion. This MAP Policy is not applicable to
any in-store advertising that is displayed only in the store and not distributed to any customer(s). While
Retailers remain free to advertise and sell all the Products at any price, it is a violation of this MAP Policy
for a Retailer to advertise any Product at a price lower than the MAP.

MAP Holidays

CAA reserves the right to announce MAP holidays or promotions that are applicable to all Retailers, during
which periods a Retailer that advertises a Product in compliance with the terms of the MAP holiday will not be
considered to have violated this MAP Policy.

CAA encourages Retailers to utilize the CAA’s MAP holidays to their advantage while providing a high level of
customer service to the end user. CAA encourages retail brand awareness and value-added promotions of our
Products in the store.

Noncompliance

CAA shall determine any noncompliance of this MAP Policy, in its sole discretion, and Retailers shall have no
right to enforce this MAP Policy. In the event a Retailer chooses not to comply with this MAP Policy, CAA will
take the following actions:

First Violation: CAA will issue written notice of the violation.

Second Violation: CAA will issue written notice and initiate a 30-day shipping hold. This means that CAA
will revoke its acceptance of any pending orders, cancel any pending shipments to
the Retailer, and not accept any new orders from the Retailer during this 30-day
period.

Third Violation: CAA will issue written notice, terminate the business relationship, and revoke the
Retailer’s “authorized” status. This means that CAA will revoke its acceptance of any
pending orders and cancel any pending shipments to the Retailer.

If the violating Retailer does not purchase direct from CAA but through an authorized distributor, CAA will
administer the applicable shipping-hold through the applicable distributor.

As part of CAA’s monitoring of this MAP Policy, CAA and its partners may, at its sole discretion, utilize a range
of human and computer technologies to monitor the advertised pricing and placement of Products across the
Internet and elsewhere. This monitoring may include, without limitation, visiting the website(s) of any Retailer
and/or tracking compliance with this MAP Policy by any Retailer through third parties. Any attempt by a Retailer
to redirect, mask, or otherwise interfere with these monitoring efforts or any other enforcement of this MAP
Policy will be considered an express violation of this MAP Policy.

Exceptions

This MAP Policy does not apply to the following (exceptions):

• Electronic mail sent directly in response to a customer inquiry.

• Internet “shopping cart” pages where a customer makes his or her final purchase selection.
Please note that pricing information in the “shopping cart” must be obscured technically so
that it is not retrievable by shopping and pricing engines and not displayed on search page
results within the Retailer’s own website.

• Advertisements that offer free services with purchase (e.g., free installation, adjustment or
training), unless the advertisement specifies a value of those services and results in the
Product being advertised at a price below the applicable MAP.

Unilateral Nature of Policy

This MAP Policy has been unilaterally developed and adopted by CAA, in its sole discretion, and will be
unilaterally enforced by CAA. Notwithstanding anything to the contrary in this MAP Policy or elsewhere, this
MAP Policy does not constitute an agreement.

The business relationship between CAA and each of its Retailers remains an “at will” business relationship.
CAA reserves the right to terminate such business relationships without cause and at any time.

CAA will not enter into any discussions with any Retailers on any conditions of acceptance related to this MAP
Policy. CAA does not seek, nor will it accept, any agreement or assent from its Retailers respecting this MAP
Policy. This MAP Policy is not negotiable and will not be altered for any Retailer. CAA reserves the right, at any
time, to modify this MAP Policy, to establish new or different policies, or to discontinue any or all such policies.

Contact Information

CAA sales personnel have no authority to modify or grant exceptions to the MAP Policy or to have any
communications with any Retailers regarding the terms hereof or non-compliance with this MAP Policy. All
questions or comments regarding this MAP Policy are to be directed to compliance@clarusadventure.com.

This MAP Policy has been unilaterally established by CAA in order to preserve the reputation for high quality
and perceived value of our Products and shall remain in effect unless CAA amends, replaces, suspends or
discontinues it. CAA reserves the right to unilaterally modify, suspend or discontinue this MAP Policy in whole
or in part and any MAPs at any time. Thank you in advance for your cooperation.
