US Minimum Advertised Pricing Policy
Racing and High-Performance Tires

1. Introduction

Hoosier Racing Tire Corp. (“Hoosier”) is a leading manufacturer of racing and high-performance tires that
deliver high quality performance at an exceptional value. We understand that our partners have made
significant investments in order to provide exceptional customer service and promote our brands. In an effort
to protect these investments and preserve the image of our brands in the market, Hoosier has unilaterally
adopted this Minimum Advertised Pricing (this “MAP”) policy.

2. Policy

Resellers (“Sellers”) in the US, of products included in the Marketing Lines (Leads) (as defined below) covered by
this MAP policy, may not advertise on any internet site prices for those products below the minimum advertised
prices established by Hoosier. These prices may be changed from time to time upon thirty (30) days’ notice, at
the sole discretion of Hoosier.

This MAP policy applies to advertisement of prices only and nothing in this MAP policy shall restrict or
establish the selling price for any goods or services.

3. Marketing Lines (Leads)

This MAP policy shall apply to the retail advertising of any products included in the following “Marketing Lines
(Leads)”:

o Hoosier Racing Tires (Leads 07, 08, 09, 10, 11, 12, 13, 14, 15, 16, 17, 18, 19, 22, 31, 32, 33,
35, 36, 37, 38, 39, 40, 41, 42, 43, 44, 45, 46, 47, 48, 49)

o Hoosier Car Care & Cleaning Products

4. Definition of Advertising

“Advertising” includes the display of price(s):

• on a web browser search, customer home page, content on a webpage within the Seller’s site or
domain, or, if the Seller is conducting e-commerce through a third-party site or domain (e.g., Amazon,
eBay, or Google Shopping), content on third-party sites or domains.
• on a mobile site and/or smartphone/tablet application.
• by a Seller in broadcast email.
• by a Seller in advertisements placed on an internet site operated by a third party (e.g., Amazon, eBay,
or Google Shopping), including destination pages and third-party sites such as portal sites, natural or
paid search engine listings, social media sites, shopping sites and auction sites, including banner
advertisements.

“Advertising” does not include the display of price(s):

• by a Seller in response to a customer inquiry from a “Call for Price”, “Email a price”, “Sign-in to members
account to see a price”, or “See checkout for price” feature on a website.
• prices quoted via telephone, email or online chat in response to a customer inquiry.
• prices displayed at a physical retail location.

5. Guidelines

Sellers may not:

• advertise discounts, retailer/location specific discounts, rebates, or other promotions on a per tire or
set of tires basis, or anywhere a tire size and related tire price are present, that result in an advertised
net price lower than the MAP guideline.
• use language or images to imply or suggest that a lower price could be obtained by the customer (e.g.,
Strike Through Pricing, “add to cart for lower price”, “lowest price guaranteed”, “[Sellers] price in cart”,
or any other log in for a different price).
• advertise an installment-based price (single or multiple installments) without the total cost of the tire
displayed (i.e. “Buy it now”) at or above the applicable MAP value.
• advertise pricing in any other manner that undermines the intent of this MAP policy.

Sellers may:

• Elect not to advertise a price and instead use wording like “Add to Cart”, as long as no language or
images imply that a discounted price is available, (e.g., “add to cart for lowest price”, “lowest price
guaranteed”, or “[Sellers] price in cart”, “Members log-in for lower price”)
• advertise discounts, retailer/location specific discounts, rebates, or other promotions on a per tire
basis or set of tires basis, or anywhere a tire size and related tire price are present, as long as the net
advertised price per item is not less than the current MAP price.
• advertise discounts, retailer/location specific discounts, rebates, or other promotions as long as they
are not displayed on a per tire or set of tires basis, or anywhere a tire size and related tire price are
present (e.g. banner advertisements).
• advertise value-adding services (e.g. tire rotation or balance offers) that do not impact the advertised
price of a product. As an example, an offer for a ‘free mounting and balancing service with product
purchase’ (at or above the current MAP) would be acceptable, whereas an offer of ‘discount off product
with mounting and balancing purchase’ would not be acceptable.
• advertise a credit card or other financing offer that results in a net price lower than MAP on a per tire
or set of tires basis, or anywhere a tires size and related tire price are present, provided the discount
below MAP cannot exceed the value of the financing offer and the starting price on a per tire basis is
displayed at or above the MAP price.

6. Enforcement

FIRST VIOLATION: Any failure by a Seller to comply with this MAP policy shall be a violation. In such an event,
the Seller will receive an email notice that a first violation has occurred.

SECOND VIOLATION: If a violation continues for five (5) days following the date notice is provided by Hoosier or
an additional violation occurs within the same Marketing Line (Lead) in a rolling twelve (12) month period, a
second violation will have occurred. Seller will then (i) receive an email notice that a second violation has
occurred, and (ii) be ineligible for marketing funds, or equivalent (as applicable) for the violated Marketing Line,
for ninety (90) days beginning the next appropriate reward period from the day in which the second violation
occurred.

THIRD VIOLATION Should any violation continue for thirty (30) days following the date notice was first provided
by Hoosier, or three (3) violations occur within the same Marketing Line (Lead) in a rolling twelve (12) month
period, a third violation will have occurred. Seller will then: (i) receive an email notice that a third violation has
occurred, and (ii) be subject to the loss of supply of any Product for which the violation has occurred, removal
from partner programs (as applicable), or removal as an authorized Seller as determined by Hoosier in its sole
discretion.

All matters of interpretation and application of the terms of this MAP policy shall remain within the sole,
unilateral authority of Hoosier. Hoosier reserves the right, at its discretion, to discontinue sales to any Seller for
any reason, including repeated violation of this MAP policy.

7. Administration

All email notifications and updates to this policy, including any updates to MAP prices levels will be emailed to
the Seller’s primary contact email on file at Hoosier. A copy of current minimum advertised prices will also be
available to Sellers through Seller communications and/or provided upon request.

Hoosier has adopted this MAP policy unilaterally and neither seeks nor accepts any input, confirmation, or
assurance of compliance by its Sellers. Should you have any questions or inquiries about this MAP policy please
direct them in writing to MAPAdminHOOSIER@HOOSIERTIRE.COM and an authorized representative will
respond. No other Hoosier employee or sales representative is authorized to engage in any discussion with
Sellers about this MAP policy.
