BOESHIELD® MINIMUM ADVERTISED PRICE (MAP) POLICY

Effective Date: August 18, 2026


PMS Products Inc. (“Company”), as the manufacturer of products including Boeshield T-9®,
BLADE & BIT™, and Rust Free™ (collectively, the “Products”), recognizes its Authorized Resellers
invest time and considerable resources to deliver an outstanding customer experience through
knowledgeable staff, product education, and compelling marketing programs throughout the
United States and Canada. Company’s Minimum Advertised Price (“MAP”) Policy is designed to
protect the long-term strength, reputation, and premium positioning of the Company brand
while supporting Authorized Resellers who invest in product knowledge, customer support, and
marketing programs that enhance the customer experience.

UNILATERAL POLICY

This MAP Policy is a unilateral policy adopted by Company. This Policy does not constitute an
agreement between Company and any Authorized Reseller. Company is neither seeking nor
requesting any response, assurance, acceptance, or acknowledgment from any Authorized
Reseller regarding this Policy. Each Authorized Reseller is free to decide independently whether
to follow this Policy. Company will not negotiate the terms of this Policy with any Authorized
Reseller. No Company employee, agent, distributor, or sales representative is authorized to
discuss, negotiate, modify, waive, or grant exceptions to this Policy, or to solicit or accept any
commitment, assurance, or agreement from any Authorized Reseller regarding compliance. The
sole authorized point of contact regarding this Policy is the MAP Policy Administrator identified
below.

Although each Authorized Reseller remains free to resell the Products at any price it
independently determines, Company may, in its sole discretion and without prior notice, cease
shipments to and withdraw Authorized Reseller status from any reseller that Company
independently determines has advertised the the Products in violation of this Policy. Company
may modify, suspend, or discontinue this Policy in whole or in part, or designate periods during
which the Policy is inapplicable, at any time in its sole discretion.

This Policy is designed to:

(i) support Company, Boeshield T-9® and the Products as premium offerings in the
marketplace;

(ii) encourage Authorized Resellers to dedicate appropriate resources toward
promoting and supporting the Boeshield T-9® brand and the other Product brands;

(iii) enable Authorized Resellers to provide knowledgeable sales assistance and
customer education;

(iv) encourage high-quality pre-sale and post-sale service; and

(v) promote activities that enhance the overall desirability, reputation, and customer
experience associated with the Boeshield T-9® brand and the other Product brands.


This Policy applies only to advertised prices and does not establish, control, or restrict the actual
resale price at which any Authorized Reseller sells the Products. Failure to comply with this Policy
may result in, at Company’s sole discretion, suspension or termination of Authorized Reseller
status, removal of purchasing privileges, or other actions deemed appropriate by Company.

Authorized Resellers shall not publish, communicate, or otherwise advertise a retail price for the
Products through Covered Advertising (defined below) that is below the current Minimum
Advertised Price (“MAP”) established by Company. Covered Advertising includes all online
marketplaces, digital commerce platforms, and third-party sales platforms, including but not
limited to Amazon, eBay, Walmart Marketplace, and similar platforms, whether operated directly
by the Authorized Reseller or through another approved sales channel.

“Covered Advertising” is defined as:

1. Print advertising such as newspapers, magazines, print inserts, outdoor
billboards/signage;

2. Broadcast advertising such as radio and TV;

3. Direct advertising such as catalogs, flyers, newsletters, direct mail pieces/coupons,
and broadcast faxes, whether mailed, hand-delivered, or shipped in-box with
product;

4. Electronic mail (e-mail) advertising. Any web pages that link from the e-mail are
considered part of the e-mail advertisement;

5. Internet advertising such as banner, pop-up, and pop-under ads;

6. Any website, marketplace, or digital platform accessible to the public, including
traditional retailers, membership sites, e-commerce retailers, online marketplaces,
vendors, portals, shopping sites, blogs, forums, auction sites, and other digital sales
channels.

The types of advertising not covered by this Policy are:

• In-store merchandising and displays that are not distributed electronically or publicly
advertised outside of the physical retail location.

• Private customer communications that are not publicly accessible advertisements.

MAP LIST

Company will, from time to time, publish a Minimum Advertised Price list (“MAP List”), which
may be amended, updated, or adjusted by Company at any time in its sole discretion. Each MAP
List will identify the effective date, applicable the Products, and the Minimum Advertised Price
(“MAP”) established for those products.

Any advertisement by an Authorized Reseller of a Product below the MAP price identified in the
current MAP List will constitute a violation of this Policy.

A visible strike-through, deletion, alteration, or modification of any advertised price in Internet
or e-commerce advertising is strictly prohibited when such practice is intended to communicate
a price below MAP or otherwise circumvent this Policy.

It is a violation of this Policy to use advertising language or tactics that imply a price below MAP,
including but not limited to:

• “See price in cart”
• “Add to cart to see price”
• “Make offer”
• “Bid”
• “Message me for pricing”
• “Instant rebate”
• “Limited time discount”
• “Special price available”
• Any other terminology or mechanism intended to avoid displaying the applicable MAP
price.

Notwithstanding the foregoing, this Policy does not restrict the actual transaction price displayed
to a customer only after the customer has placed a product in an online shopping cart, to the
extent such in-cart pricing is not publicly visible, is not indexable by search engines, and
constitutes a sales price rather than an advertised price. Nothing in this Policy restricts the price
at which any Authorized Reseller actually sells the Products.

Authorized Resellers remain free to independently establish their own resale prices at their sole
discretion, including prices offered in-store, over the telephone, through private
communications, or through other non-public sales interactions.

This Policy is not applicable to any in-store advertising that is displayed only in the store and not
distributed to any customer(s).

In addition to directly advertising a price below the MAP List, the following promotional activities
will also constitute violations of this MAP Policy when they result in a publicly advertised effective
price below MAP:

• “Buy one / get one,” bundled offers, package discounts, or similar promotions where the
effective advertised price of the Products falls below MAP.

• Instant rebates, coupons, discount codes, promotional credits, gift cards, Amazon
coupons, marketplace discounts, or other incentives that reduce the publicly advertised
effective price below the applicable MAP.

• Site-wide discounts, promotional offers, or automatic discounts that apply to the
Products unless the advertisement clearly excludes the Products.

The following activities generally do not violate this MAP Policy:

• Advertisements or offers for free shipping, applicable sales tax exemptions, or free
financing options, provided they do not reduce the publicly advertised product price
below MAP.

• Promotions or promotional events initiated or specifically authorized by Company.

• Loyalty programs or rewards programs associated with future purchases that do not
directly reduce the advertised price of the Products below MAP.

FAILURE TO COMPLY WITH MAP POLICY

Authorized Resellers remain free to independently determine whether they participate in
Company’s Authorized Reseller program. This MAP Policy is a unilateral policy of Company and
does not constitute an agreement between Company and any Authorized Reseller. Company is
not seeking or requiring any assurance or acknowledgment of compliance with this Policy.
Company will independently monitor advertised pricing through internal review and/or third-party monitoring services.

Failure to comply with this MAP Policy may result in actions including, but not limited to, written notice of violation, removal of promotional benefits, suspension of purchasing privileges, loss of Authorized Reseller status, cessation of supply, or withdrawal of
Authorized Reseller status.

ENFORCEMENT PROCESS

Company reserves the right to determine the appropriate response to any violation of this MAP
Policy based on the nature, frequency, and severity of the violation.

The following tiered enforcement framework is a general guideline for Company’s internal
administration of this Policy. It does not create any right, entitlement, or expectation on the part
of any Authorized Reseller:

• First violation: Written notice identifying the violation; Authorized Reseller must
implement corrective action for electronic advertisements (email/internet sites) within
48 hours, and for print and other advertisements no later than the earlier of the
relevant production cycle or thirty days.

• Second violation within twelve (12) months: Thirty (30) day suspension of purchasing
privileges.

• Third violation within twelve (12) months: Indefinite suspension or withdrawal of
Authorized Reseller status.

• Egregious or willful violations: Company reserves the right to bypass the foregoing tiers
and immediately suspend or terminate Authorized Reseller status without prior notice.

Company may, at its sole discretion, provide one-way notice of a violation. Any such notice is
informational only and does not create any right to cure, any entitlement to reinstatement, or
any obligation on Company to engage in discussion or negotiation. Company reserves the right
to immediately suspend or terminate Authorized Reseller status for violations deemed serious,
intentional, or repeated.

Company is not obligated to provide prior notice before taking enforcement action.

PROMOTIONS

Company reserves the right to conduct promotional activities for its products independently or
through authorized distribution partners.

Authorized Resellers are encouraged to participate in Company approved promotions while
continuing to provide a high level of customer service, product education, and support to end
users.

Company encourages retail brand awareness initiatives and value-added promotions that
enhance the customer experience.

Promotional incentives, rewards, or loyalty benefits must be structured so they do not reduce
the publicly advertised price of Company products below the MAP established in the current MAP
List.

Promotions that do not comply with this Policy may be considered violations and may result in
enforcement actions.

PROMOTIONAL PERIODS

Company may, from time to time, designate specific promotional periods during which the MAP
requirements are suspended or modified for specified products. Such designations will be
communicated in writing to Authorized Resellers in advance of the promotional period. Only
promotions expressly authorized in writing by Company will be recognized as exceptions to this
Policy.

BOESHIELD T-9® PRODUCT IDENTIFICATION REQUIREMENTS

All product listings for the Products must include the assigned a Company part number. The part
number must be prominently displayed, accurate, and visible in at least one of the following
locations:

• Product listing title
• Product description
• Applicable marketplace attributes or product information fields

The required use of Company assigned part numbers is intended to improve product
identification, maintain listing accuracy, support customer experience, and assist with
marketplace monitoring across all sales channels. Adherence to this policy will contribute to
improved efficiency, accuracy, and customer satisfaction across all sales channels. The omission,
alteration, replacement, or inaccurate representation of Product assigned part numbers may be
considered a violation of this Policy if such actions prevent accurate product identification,
interfere with monitoring efforts, or are used to circumvent Company policies.

LIMITATIONS ON SALES

The channel authorization requirements in this section are conditions of Authorized Reseller
status, not restrictions on advertised pricing. They are separate from and in addition to the MAP
requirements of this Policy.

Authorized Resellers may sell the Products only through approved sales channels authorized by
Company, including:

• Authorized retail locations
• Authorized mail-order catalogs
• Authorized reseller websites
• Approved industry events, including motorsports, powersports, marine, aircraft, races,
rallies, expos, and trade shows

Selling or listing any Products on third-party marketplaces, including but not limited to Amazon,
eBay, Walmart Marketplace, and similar platforms, is prohibited unless expressly authorized in
writing by Company through an Authorized Marketplace Agreement or other written
authorization.

Authorization to sell through any marketplace does not waive or modify any requirements
contained within this MAP Policy or any Authorized Reseller Agreement.

AUTHORIZED MARKETPLACE REQUIREMENTS

Company maintains the right to determine which sales channels and marketplaces are authorized
for the sale of its products.

Authorization to sell the Products through any marketplace, including Amazon, eBay, Walmart
Marketplace, or similar platforms, requires prior written approval from Company.

Marketplace authorization may be revoked at any time if a seller violates this MAP Policy, fails to
meet brand standards, misrepresents products, fails to maintain accurate product listings, or
engages in activities that negatively impact the Boeshield T-9® brand or any other Product brand.

PRODUCT AUTHENTICITY AND LISTING STANDARDS

Authorized Resellers must ensure all Product listings accurately represent the product,
packaging, specifications, and intended use.

Authorized Resellers may not:

• Create misleading product variations;
• Alter product titles or identifiers to avoid monitoring;
• Misrepresent used, open-box, or discontinued inventory as new;
• Create duplicate listings intended to avoid pricing or marketplace enforcement.

USED, OPEN-BOX, OR DISCONTINUED PRODUCTS

Used, open-box, or discontinued products may be advertised below the applicable MAP price
provided the Authorized Reseller clearly and prominently discloses that the product is “Used,”
“Open Box,” “Customer Return,” or “Demo Unit.”

For purposes of this Policy, used, open-box, or discontinued products include the Products
obtained through customer returns, customer trade-ins, demonstration units, discontinued
inventory, or other non-new product sources.

MONITORING AND REPORTING

Company may monitor advertised prices of the Products covered under this MAP Policy either
directly or through third-party monitoring services.

Monitoring may include review of Authorized Reseller advertisements, websites, marketplaces,
digital platforms, and other publicly available sales channels, including but not limited to
advertised pricing, promotional language, product identification, and marketplace compliance.

Third parties retained by Company may conduct monitoring activities and provide reports
regarding potential violations.

UNAUTHORIZED SELLERS

Company reserves the right to investigate unauthorized sellers and sources of distribution of the
Products.

Authorized Resellers are expected to reasonably cooperate with Company requests for
information regarding the source, purchase history, or distribution channels of the Products
offered for sale. Failure to provide reasonably requested information may be considered in
Company’s independent decisions regarding continued supply and Authorized Reseller status.

AMAZON MARKETPLACE GUIDELINES

All authorized sellers of Boeshield T-9® or other Products must comply with this MAP Policy when
advertising or promoting the Products through Amazon or any other approved marketplace.

Compliance includes maintaining the applicable MAP price after consideration of any discounts,
promotions, coupons, rebates, credits, or other incentives that affect the publicly displayed or
effective advertised price.

The MAP requirement applies to the “Net Adjusted Price,” meaning the effective advertised price
after application of any discounts, including Amazon-funded discounts.

SALES DIRECTLY TO AMAZON

Company has not authorized, and does not authorize, the supply of the Products directly to
Amazon, Amazon affiliates, or Amazon marketplace sellers without prior written authorization
from Company. Supply of products in contravention of this provision may result in cessation of
supply and withdrawal of Authorized Reseller status.

Any sale, transfer, or distribution of the Products intended for resale on Amazon must comply
with Company’s marketplace authorization requirements.

AMAZON FUNDED DISCOUNTS

Amazon-funded discounts, coupons, promotional credits, Lightning Deals, Prime-exclusive offers,
or other Amazon promotional programs may not be used in a manner that results in a Net
Adjusted Price below the applicable MAP price.

INCLUSION OF AMAZON FUNDED DISCOUNTS

When calculating compliance with MAP requirements, any Amazon-funded discounts should be
considered as part of the overall discount (Net Adjusted Price). The final advertised price, after
applying the Amazon funded discount, must still comply with MAP requirements.

Amazon coupons, promotional badges, and other marketplace features that display a reduced
price or savings amount to consumers will be considered part of the advertised price calculation.

AMAZON MONITORING AND ENFORCEMENT

Company may monitor Amazon listings and other marketplace activity to verify compliance with
this MAP Policy, including advertised prices, promotions, discounts, coupons, and product
identification requirements.

Any violation may result in corrective action, including removal of marketplace authorization,
suspension of purchasing privileges, loss of Authorized Reseller status, or cessation of supply and
withdrawal of Authorized Reseller status.

ADDITIONAL POLICY TERMS AND CONDITIONS

This MAP Policy and the MAP Product List may be modified, updated, extended, suspended,
discontinued, or rescinded, in whole or in part, by Company at any time in its sole discretion.
Company will not negotiate or modify the terms of this MAP Policy based on individual
Authorized Reseller requests.

Company neither solicits nor requires Authorized Resellers to provide assurances of compliance
with this Policy. Compliance will be determined solely through monitoring of publicly available
advertising and other information available to Company.

No person other than the designated MAP Policy Administrator is authorized to:

• Interpret this Policy
• Modify or grant exceptions to this Policy
• Approve alternative advertising practices
• Receive information regarding potential violations

Any questions, requests, or information regarding potential violations must be submitted in
writing to the MAP Policy Administrator.

Reports regarding potential violations must be submitted in writing to the MAP Policy
Administrator.

Company may require supporting documentation related to any alleged violation.

Telephone requests regarding violations, reinstatement, or exceptions will not be considered
official submissions under this Policy.

GOVERNING LAW AND GENERAL PROVISIONS

This Policy shall be governed by and construed in accordance with the laws of the State of
Michigan, without regard to its conflict of laws principles. To the extent any provision of this
Policy conflicts with the competition laws of Canada or any Canadian province, such provision
shall be administered in a manner consistent with applicable Canadian law. If any provision of
this Policy is held to be invalid or unenforceable, the remaining provisions shall continue in full
force and effect. This Policy does not create any right, claim, or cause of action in favor of any
Authorized Reseller against Company or against any other Authorized Reseller. No Authorized
Reseller may seek to enforce this Policy against any other party.
